Introduction

 

Metso, a global leader in sustainable technologies, comprehensive solutions, and services for the minerals processing, aggregates, metal recycling, and waste management industries, is looking for a Legal Counsel of Central Asia Region.

In this position you will be responsible for full legal support of Metso projects in the CEAS region, including contract management, risk analysis, negotiations, and resolution of legal issues throughout all project phases.

This position is located in Almaty, Kazakhstan, and reports to Legal Director of Europe, CEA and Africa Region  (located in Finland).


Responsibilities and Duties on this position:

 

  • Full responsibility for Metso projects (bidding phase) from a legal, commercial, and contractual perspective in the CEAS Region
  • Development and responsible for the following complex business processes (from a legal perspective):
  • Bidding strategy to commercial contractual proposal management;
  • Complex and comprehensive tender and required documents;
  • Contract negotiations, contract implementation and approval, taking over and final acceptance procedures with clients.
  • Analysis of complex commercial and legal issues in close cooperation with different experts and teams consisting of sales, technical/engineering and affiliated companies in an international environment.
  • Commercial proposal management including drafting and review of proposal wording and contributing to the price estimation and optimization.
  • Preparation and review of the required documentation for the group internal risk management and approval procedures in accordance with the corporate governance rules.
  • Drafting of contracts including follow up for required clarifications and negotiations with clients different type of contract models like engineering, engineering and procurement (EP) and engineering, procurement and construction (EPC) contracts; furthermore: research and development agreements and consortium agreements, non-disclosure agreements, license and technology agreements etc.
  • Provide support of the commercial project management with regard to contract interpretation.
  • Support of various in-house disciplines in case of contract execution problems/claims, such as delayed payments, deferred acceptance of deliveries and supplies and incomplete/insufficient performance of client's obligations up to arbitration or litigation procedures.
  • Participation in multinational contracts implementation in close cooperation with project delivery and corporate tax department.
  • Support on local topics (corporate, HR, etc.).

 

To succeed in this position, you will need:

 

  • Educational background: law degree.
  • To be self-motivated and reliable; from a legal, commercial and contractual perspective full responsibility for Metso Outotec projects (bidding phase)  in the Market Area.
  • Full understanding of complex business processes:
  1. bidding strategy to commercial contractual proposal management;
  2. complex and comprehensive tender and enquiry documents;
  3. contract negotiations, order placement, contract implementation and approval, taking over and final acceptance procedures with clients.
  4. analysis of complex commercial and legal issues in close cooperation with different experts and teams consisting of sales, technical/engineering and affiliated companies in an international environment.
  5. commercial proposal management including drafting and review of proposal wording and contributing to the price estimation and optimization.
  6. preparation and review of the required documentation for the group internal risk management and approval procedures in accordance with the corporate governance rules.
  7. sound knowledge and expertise of local legal requirements and compliance rules and regulations.
  8. drafting of contracts including follow up for required clarifications and negotiations with clients different type of contract models like engineering, engineering and procurement (EP) and engineering, procurement and construction (EPC) contracts; furthermore: research and development agreements and consortium agreements, non-disclosure agreements, license and technology agreements etc.
  9. after award of contract support of the commercial project management with regard to contract interpretation.
  10. in case of contract execution problems/claims, such as delayed payments, deferred acceptance of deliveries and supplies and incomplete/insufficient performance of client's obligations up to arbitration or litigation procedures. Support of various in-house disciplines (project management, engineering, supply, construction).
  • Interest to understand technical correlations including understanding of interfaces between technical disciplines, such as for instance performance guarantees and testing procedures.
  • Understanding of international tax, such as permanent establishment issues, withholding taxes, consequences for contract formation also in consideration of involvement of affiliated companies as well as the multinational contract implementation, all in close cooperation with the corporate tax department.
  • Readiness to travel within the region (even on short term notice).
  • Efficient and precise communication skills internal and external, convincing negotiations and argumentation skills.
  • Economic driven mind set.
  • Cultural awareness; services and sales mind set; frequent client and supplier interaction and contacts.
  • Language skills:  native Russian, English on a full negotiation level. Kazakh language will be an advantage.
  • Solid commercial expertise with respective experience in engineering contracting industry, preferably in contract or proposal management.
